| The European Commission said some of the conditions imposed by Spain on Italian utility Enel SpA and Acciona SA to buy Endesa (NYSE:ELE) SA are incompatible with EU law and ordered it to withdraw them by Jan 10. The commission said the incompatible conditions include the obligation for Enel and Acciona to maintain Endesa as an independent company and to retain its decision-making centre in Spain. It also cited the limitations on Endesa's debt service ratio and on Endesa's dividends distribution policy. Equally, the commission said the obligation on Endesa generation assets to purchase amounts of national coal is incompatible with EU rules, as is the obligation to keep the assets of the insular and non-mainland electricity systems within the Endesa group. The conditions were imposed by Spain's energy regulator CNE on July 4 and partially modified by the government on Oct 19 following an appeal by Enel and Acciona. They were adopted without prior communication to the commission and therefore without its approval. After an initial assessment, the commission told Spain on Sept 21 that its preliminary conclusion was that some of the conditions violated EU rules on the free movement of capital and freedom of establishment, and that one of them was also incompatible with rules on the free movement of goods. The commission received a response from the Spanish authorities on Oct 22. After assessing the reply and the modifications made by the Spanish government, the commission said it concludes that some of the conditions are still incompatible with EU law.
